Property Reservation Deposit Refunds in Turkey: Kapora and Cancellation

property reservation deposit refund in Turkey: A payment labelled kapora is not automatically forfeited when a Turkish property purchase fails. Identify the agreement, recipient, legal form and reason for cancellation before choosing a

Turkish law · English guidance for international clients

Short answer

The word kapora does not settle whether a Turkish property reservation payment is refundable. The analysis begins with the transaction’s legal form, the payment’s agreed function, the recipient’s authority and the reason the purchase did not proceed. Articles 177 and 178 of the Turkish Code of Obligations distinguish an earnest payment from expressly agreed withdrawal money. Article 237 imposes formal requirements on immovable sales and promises to sell. A receipt marked “non-refundable” therefore needs legal analysis; it is not an automatic answer to every dispute.

1. What does kapora mean in a property negotiation?

In everyday negotiations, the same label is used for several different payments. One buyer uses it to mean an instalment of the price. An agent uses it for money intended to take an advertisement off the market. A seller describes it as the price of an option to walk away. Those descriptions have different consequences and should not be combined merely because the receipt contains one familiar Turkish word. Ask what the amount actually buys and where it will be credited if the sale proceeds.

Article 177 of Law No. 6098 supplies a starting point for money delivered when a contract is concluded: it is treated as evidence of the agreement rather than withdrawal money, and is ordinarily credited against the main debt. Article 178 addresses the distinct situation where withdrawal money has been agreed. Its mechanism involves loss of the payment by the paying party who withdraws, or repayment of twice the amount by the receiving party who withdraws.

Neither provision should be applied in isolation. First establish whether there is a valid underlying agreement and what the parties accepted. An English summary supplied after payment is not necessarily the same document as the Turkish terms signed before payment. Preserve both versions, the date each was supplied and any explanation of differences. A translation issue can affect the evidence about agreement, but it does not automatically invalidate every transaction involving a foreign buyer.

Article 237 requires official form for an immovable sale and for specified related agreements, including a promise to sell. A private reservation form must not be mistaken for a completed transfer of ownership or automatically treated as a formally valid promise to transfer it. Signing in an agent’s office, witnessing a signature or sending the purchase money does not remove the need to classify the legal instrument correctly. The legal effect comes from the applicable rules and completed acts, not the document’s impressive appearance.

Where money was received without a valid legal basis, the unjust-enrichment framework in Article 77 becomes relevant. That is different from enforcing an expected purchase profit or a contractual penalty. A purchaser should not begin by calculating “double the deposit” and only later ask whether the agreement supporting that calculation was valid. Statutory exceptions and the circumstances of payment still require assessment before a repayment demand is framed.

The scope of a reservation arrangement also matters. A separately described service or undertaking requires its own analysis rather than an assumption that every obligation in every document has identical validity. Separate the alleged obligation to transfer the property from brokerage services, document-review arrangements and promises concerning temporary marketing. A lawyer should identify what each party promised, not simply assign one label to the entire payment package.

3. Identify the account holder and the authorised recipient

A common source of confusion is a payment to someone who is not the registered owner or contractual seller. The recipient might be an estate agent, a company employee, a director using a personal account, a relative of the seller or a person impersonating a legitimate business. Those possibilities require different enquiries. The name displayed on a messaging account is not proof of the bank account holder’s legal role. Nor does possession of a copy title deed necessarily establish collection authority.

Keep the original transfer confirmation showing the beneficiary name, account details, amount, currency, transaction date and reference. Request the written authority relied on for collection and evidence of onward transmission where the recipient says they passed the funds to someone else. A statement that “the office handles all payments” does not identify the person who undertook repayment or the terms on which money was held.

The correct defendant depends on the legal basis and actual flow of funds. Do not name every participant indiscriminately or assume that a familiar trading brand is the relevant legal entity. Record the registered company name and available registry identifiers. Where a representative negotiated or signed, examine the scope of authority alongside the payment trail. This prevents a repayment claim from being directed solely at the most visible person rather than the legally responsible party.

4. Finance approval and due-diligence conditions must be real terms

A buyer who needs mortgage approval should not assume that an unsuccessful application automatically creates a refund right. The reservation or purchase documents should explain whether finance approval is a condition, whose approval is required, what efforts the buyer must make, when the condition must be satisfied and how failure is notified. A condition described only in a telephone conversation creates an evidence problem. A lender’s valuation and a final commitment to lend are also different stages.

Apply the same discipline to title checks, a building assessment, foreign-acquisition eligibility or removal of a mortgage. An effective condition identifies the issue and its consequence. “Subject to legal checks” is less useful than a properly drafted provision identifying documents to be reviewed, the time available and treatment of the payment if a specified problem remains unresolved. Conditions should be tailored to the actual transaction instead of added after a dispute has started.

Keep a record of the buyer’s cooperation. Failure to supply requested finance documents or arrange an agreed inspection can become part of the dispute about why the condition failed. Conversely, a seller who withholds promised title documents should not be allowed to rewrite the chronology as a simple change of mind by the buyer. Preserve dates, delivery confirmations and complete correspondence rather than a selection of favourable messages.

5. When the seller cannot deliver what was promised

Examples requiring investigation include a seller who is not entitled to transfer the property, an undisclosed competing transaction, an encumbrance that is not discharged as agreed, or an occupied apartment promised with vacant possession. These are not interchangeable defects. Identify the exact undertaking, the material fact that contradicts it and the time at which performance was due. A difficulty capable of correction and a fundamental inability to perform do not necessarily justify identical immediate steps.

A repayment demand should describe the sequence accurately. A buyer who writes only “I cancel” creates uncertainty about whether they rely on the seller’s failure or exercise an optional withdrawal mechanism. The notice should use the ground supported by the file and address any requirement to allow performance or cure. Avoid sending a standard template before those questions are assessed, particularly where the contract sets a particular notice address or procedure.

An occupied-property problem deserves a separate tenancy review. The sale does not itself terminate an existing lease. The seller’s promise to the buyer and the tenant’s position must be considered separately. A refund dispute against the seller is not a substitute for analysing the tenant’s rights. Equally, an ongoing tenancy should not be concealed in a document claiming that an empty apartment has already been delivered.

6. When the buyer changes their plans

A job change, family disagreement, exchange-rate movement or preference for another apartment does not have one universal consequence. The answer depends on the valid agreement, the payment’s function and any applicable statutory withdrawal right. Distinguish personal inconvenience from an expressly agreed contractual condition that has genuinely failed. A seller’s awareness that the buyer hoped to obtain finance is not necessarily equivalent to accepting a finance condition.

Read the complete clause rather than its heading. A provision called a “deposit” might contain a penalty mechanism; a provision called “withdrawal” might in substance address breach. Articles 179–182 regulate contractual penalties, including their relationship with the underlying obligation. Validity, consumer-protection rules and the relevant status of the parties remain important even where the document states a fixed figure. The fact that both parties signed does not eliminate every question of enforceability.

Do not sign an admission that you alone breached the agreement merely to obtain a partial payment immediately. That admission can affect the remaining dispute. Compare a proposed compromise with the evidenced claim, enforcement difficulties and value of closing the matter. A negotiated refund is a commercial decision informed by legal analysis, not proof that the original “non-refundable” label was necessarily enforceable in full.

7. Prepaid consumer housing is a separate statutory regime

A consumer buying a home through a qualifying prepaid-housing transaction must be assessed under Law No. 6502 and the relevant regulation, rather than only the general rules about kapora. The Ministry of Trade’s guidance distinguishes a 14-day withdrawal right from a separate rescission framework extending up to 24 months. Their conditions, notices and financial consequences differ. The same guidance explains that payment under any label cannot be demanded before a valid qualifying contract exists.

Do not turn those propositions into a universal cooling-off period for every private resale. First identify the seller’s role, the buyer’s consumer purpose, the structure of the payment obligation and whether the transaction falls within the statutory prepaid-housing definition. A developer’s brochure and a second-hand apartment advertised by an individual can raise different legal questions even when both involve an advance payment.

Keep the pre-contract information, signed instrument and delivery dates together. A brochure, unit-selection form and notarised promise to sell can be three different documents with three different dates. Record which version was in the buyer’s possession before the payment. This section identifies the need for a separate classification; a detailed prepaid-housing review should examine the complete statutory conditions before any withdrawal notice or calculation is issued.

8. Do not confuse a purchase deposit with an agent’s commission

An agent who received money should explain whether it was held for the seller, paid as commission, advanced for agreed expenses or allocated between several purposes. Each part needs a document and an accounting trail. A single receipt should not conceal a purchase-price payment later reclassified as an agency fee when the buyer asks for repayment. Ask who owned the funds while the reservation remained outstanding and what instructions governed their release.

Articles 520 and 521 of the Code of Obligations regulate brokerage, including the written-form requirement for immovable brokerage and the circumstances in which remuneration is earned. Agreed expenses are addressed separately. Consequently, “no sale took place” and “the agent did some work” are starting facts, not complete analyses of every sum claimed. The relationship between the broker’s activity and the resulting agreement matters.

Request signed brokerage terms, the relevant instruction, evidence of the activity said to have produced the agreement and an itemised statement of expenses. Read a property-viewing form before signature because its actual wording matters. An invoice alone does not prove that the buyer accepted all the conditions printed on it. Nor should an unexplained deduction be accepted simply because the agent has already transferred the balance to another participant.

9. Build the repayment file before communications disappear

Create a dated chronology from the first advertisement through the final refusal to refund. Include the advertisement as originally seen, the selected property’s identifiers, each version of the agreement, payment confirmations and complete correspondence. Explain who attended meetings and who interpreted material discussions. Distinguish a translation prepared for understanding from one required for official proceedings. The person who explained a clause and the person authorised to change it are not necessarily the same.

An evidence index should record what each item proves. A transfer establishes payment; a signed receipt connects it to a property; a message records a condition or admission; a title extract addresses ownership at its stated date. No single document should be made to prove more than it contains. Explain gaps rather than replacing missing records with reconstructed documents presented as originals.

Retain originals and unaltered electronic records. Do not edit screenshots to remove inconvenient context or obtain another person’s private account records unlawfully. Preserve accessible listing material promptly and ask about lawful evidence-preservation options where it is likely to disappear. An overseas buyer can organise this work without waiting for another visit to Turkey. Early organisation is particularly useful where the seller, agent and payment recipient give inconsistent accounts.

10. Request repayment and select the correct dispute route

The repayment request should identify the parties, property, each payment, the ground relied on and amount sought. Distinguish principal from claimed interest or separate loss. The date at which default and interest begin requires its own assessment; do not apply an advertised bank rate to the entire period since the first conversation. State the currency and avoid double-counting an amount already returned or credited under a settlement.

The forum depends on the relationship and claim. A qualifying consumer dispute, a commercial dispute and a private civil claim do not proceed under one interchangeable set of rules. Applicable mediation requirements, monetary thresholds and the competent authority must be checked for the filing date. A criminal complaint based on evidence of fraud is a separate step, not a guaranteed debt-collection mechanism. A broken promise alone should not be embellished into a criminal allegation.

Limitation also follows the legal basis. Article 82 contains the framework for unjust-enrichment claims, but that does not make it the correct period for every property-payment dispute. Identify relevant dates and interruption or suspension issues before negotiations become prolonged. Keep the actual notices and delivery evidence. A willingness to discuss repayment is not a reliable substitute for preserving a claim within its applicable time limit.

11. Make a repayment settlement complete and verifiable

A workable settlement specifies the payer, beneficiary, currency, amount, instalment dates and allocation of transfer charges. It explains what happens to any signed debt instrument and when a release takes effect. A promise that money will arrive “after the next sale” leaves both the payment date and enforceability question unresolved. Any security offered for deferred payment should be assessed for its real legal effect, not merely described as a guarantee.

Do not mark the dispute fully settled because a transfer screenshot has been sent. Verify cleared receipt through the agreed banking channel. Where a third party makes the refund, record whose obligation the payment discharges. Where only part is paid, make clear whether the balance remains claimed or the payment is accepted as a complete compromise. The settlement should reconcile earlier receipts and deductions so a dispute about accounting does not survive unnoticed.

Settlement authority must match the lawyer’s mandate. Decisions involving waiver, release or receipt of funds require specific attention rather than assumptions based on an instruction to “handle the property”. Clients abroad can review proposed terms in English before the Turkish document is signed. Any required translation and formalities remain separate. Sending a draft for consideration should not be confused with authorisation to accept it.

12. Two contrasting examples and the remote review process

In the first hypothetical example, a buyer transfers money after receiving a document expressly making the reservation conditional on a satisfactory title review. The seller refuses to provide an agreed document and cannot resolve a disclosed mortgage issue by the specified date. The analysis centres on the agreement’s validity, the condition, cooperation and recipient; it should not begin from a bare allegation that the buyer changed their mind.

In the second example, a buyer signs a different arrangement, receives the agreed documents and later finds a cheaper apartment. That preference does not replicate the first buyer’s facts. The particular withdrawal or penalty clause and any statutory protection require assessment. Identical payment amounts do not produce identical refund entitlements. These are hypothetical examples, not reported cases or predictions of success.

For a review from abroad, provide the complete agreement, payment evidence and a short dated explanation of why the sale stopped. Bakırcı & Keskin Law Office coordinates Turkish matters from its physical offices in Istanbul and Mersin. The property can be elsewhere in Turkey; the competent authority and any local procedural step are identified from the actual dispute. The objective is a reasoned legal classification, evidence plan and decision on next steps, not an unsupported recovery percentage.

Frequently asked questions

Is every payment called kapora non-refundable?

No. The label alone does not determine the payment’s legal character, agreement validity or consequences of the transaction ending.

Must the seller always refund twice the deposit?

No. Article 178 concerns agreed withdrawal money and must be assessed with the underlying agreement. It is not a universal rule for failed purchases.

Does a bank transfer create ownership of an apartment?

No. Payment and ownership transfer are different legal acts. The required property formalities still apply.

Does mortgage refusal automatically entitle me to a refund?

Not by itself. Review the agreed finance condition, the buyer’s obligations and any applicable statutory right.

Can an agent keep the payment as commission without explaining it?

The claimed entitlement requires examination of the brokerage arrangement, payment purpose and applicable rules. Request an itemised account and supporting documents.

Is there a 14-day cooling-off period for every apartment sale?

No. The prepaid consumer-housing regime must not be generalised to every private resale or reservation arrangement.

Can a refund claim be reviewed while I live abroad?

Yes. Start with complete scans and a payment chronology. Representation and original-document requirements are then identified for the chosen procedure.

Does a police complaint automatically return the money?

No. Criminal investigation and civil recovery address different questions. Any allegation must be supported by the actual evidence.
