Enforcing a Foreign Arbitral Award in Turkey: Documents and Defences

foreign arbitral award enforcement in Turkey: Foreign arbitral awards in Turkey: New York Convention scope, arbitration agreements, translations, refusal grounds, pending challenges and collection.

Short answer

A foreign arbitral award is not simply filed as an ordinary Turkish judgment for immediate collection. The applicable recognition and enforcement framework, award documents, arbitration agreement and possible refusal grounds must be examined first. The New York Convention is central where its scope and Türkiye’s reservations are satisfied; Turkish procedural rules and the relevant provisions of Law No. 5718 also require attention.

This guide concerns commercial arbitral awards, not foreign court judgments, private expert reports or ordinary mediation agreements. Those instruments have different legal routes. Our English legal services homepage explains Turkish-law work coordinated from our physical offices in Istanbul and Mersin.

1. Identify the instrument before choosing the enforcement procedure

Start with the complete award, including its operative part, signatures and any correction or additional award. A procedural direction, emergency measure, expert determination and final payment award should not automatically be treated as the same instrument. Identify the relief decided and its present status. A document headed decision is not enough to establish that it is an arbitral award eligible for the proposed enforcement route.

Record the seat of arbitration, administering institution if any, parties and applicable procedural rules. The city where a hearing took place or the arbitrators joined a video call is not necessarily the legal seat. The relevant documents should explain the arbitration’s legal location rather than infer it from an email address or the institution’s headquarters. That distinction affects the assessment of the award and any challenge to it.

Keep foreign court judgments separate. A court order concerning the award and the award itself serve different purposes. The foreign judgment guide addresses judicial decisions. An applicant should not submit a translated court cover letter instead of the actual award and assume it supplies every document required for arbitral enforcement.

2. Check the Convention and Türkiye’s reservations

The United Nations treaty record identifies Türkiye’s reciprocity and commercial reservations. The Convention framework therefore requires examination of the country where the award was made and whether the underlying legal relationship is considered commercial under Turkish law. The claimant’s foreign nationality alone does not establish either condition.

An award outside that particular Convention route is not automatically worthless. Examine Law No. 5718, other applicable treaty provisions and any more favourable basis preserved by Article VII. State which legal framework is being relied upon and why. Avoid combining selected requirements from different regimes into an unexplained hybrid that assumes every favourable rule applies while every corresponding condition can be ignored.

The Convention applies to awards from both permanent arbitral bodies and arbitrators appointed for an individual case within its scope. The absence of a famous institutional name is therefore not, by itself, a reason to dismiss an award. Equally, a well-known institution’s involvement does not guarantee enforcement without examining the agreement, proceedings and the particular award.

Identify the exact person against whom relief was awarded. Compare the registered name, corporate number, address and any subsequent restructuring documents. A subsidiary, parent and similarly branded distributor are not interchangeable debtors. Property held by a different company cannot simply be treated as the award debtor’s property because the businesses share directors or a logo.

For a claimant whose name or corporate status changed after the arbitration, preserve the relevant succession, merger or assignment documents. Explain the chain through which enforcement is sought. A request made by a new entity should not rely only on a management statement that it is now part of the same group. The court and enforcement process need an intelligible basis for connecting the applicant with the award rights.

An asset strategy should use lawful information sources and realistic assumptions. Known Turkish property, company interests or receivables can inform the assessment, but an adviser should not promise unrestricted access to private bank information before the applicable procedure and authority are established. The location of an apparent asset also does not resolve every question about ownership, priority or its availability for execution.

4. Prepare the award and arbitration agreement together

Article IV of the Convention identifies the authenticated original award or a duly certified copy and the original arbitration agreement or a duly certified copy. Collect the operative agreement, amendments and documents establishing the relevant clause. An invoice referring generally to terms and conditions is not necessarily a complete documentary substitute for the arbitration agreement relied upon in the proceedings.

Where an agreement was concluded through an exchange of communications or incorporated terms, preserve the complete chain. The legal analysis of the written agreement should reflect the applicable framework rather than presume that only one modern document format is possible. Do not manufacture a later signature page to make the historical record appear simpler. Genuine formation evidence should be presented accurately, including any contested issue.

Keep the award’s annexes, corrections and relevant procedural orders organised. If an additional award modifies costs or another part of the relief, the payment calculation must reflect it. An incomplete translation of the first award can otherwise produce a demand inconsistent with the tribunal’s final operative position. Identify precisely which documents are necessary for the application and which provide supporting context.

Article IV also addresses a certified translation where the award or agreement is not in the official language used for enforcement. For Turkish proceedings, arrange the required Turkish-language documents through an appropriate certification route. An English summary prepared for management is useful for understanding but does not automatically satisfy the formal document requirement.

Authentication and translation answer different questions. One concerns the authenticity or certified status of the document; the other concerns its language. Neither decides whether the tribunal had jurisdiction or the award is binding. The document authentication guide explains the broader distinctions. Do not assume an apostille on an unrelated corporate certificate authenticates every arbitration document in the same folder.

Review the translation of defined terms, currencies, interest, dates and operative obligations especially carefully. A mistranslated condition can change the apparent amount due or the event triggering payment. Keep an index linking each translated document to its source version. Where an ambiguity exists in the award itself, do not silently resolve it through translation as though the tribunal had expressly decided the missing point.

6. Assess refusal grounds without retrying the whole dispute

Article V identifies particular grounds concerning capacity or the arbitration agreement, notice and the ability to present a case, matters outside the submission, tribunal composition or procedure, and the award’s binding or suspended status. The respondent’s argument should be connected to the relevant ground and evidence, not simply repeat every submission rejected on the merits.

Notice needs the actual arbitration record. Preserve the agreed communication arrangements, appointment notices, submissions, acknowledgements and procedural decisions. A party’s failure to participate and a genuine inability to present its case are different factual situations. Do not assume that ordinary court-service requirements from another procedure automatically describe every valid communication in the arbitration, or that sending one message proves a fair opportunity to respond in every case.

The enforcing authority also considers the Convention’s arbitrability and public-policy grounds. A disagreement with the tribunal’s interpretation of a commercial clause is not automatically a public-policy objection. At the same time, those grounds should not be dismissed as impossible without examining the award and the legal issue raised. A focused analysis explains why the objection does or does not fit the applicable enforcement test.

7. Separate a pending challenge from an award already set aside

Article V distinguishes an award that has not become binding or has been set aside or suspended by the competent authority. Article VI separately addresses a pending application for setting aside or suspension. Those are different procedural states. Obtain the actual application, orders and current status rather than treating a party’s announcement that it intends to appeal as proof that the award has ceased to operate.

Under Article VI, the enforcement authority can consider adjournment and, on the award creditor’s application, suitable security. Neither adjournment nor security should be promised as automatic. Explain the circumstances supporting the request, the foreign proceedings and the practical risk. A court document about scheduling a hearing is not the same as an order suspending the award’s effect.

Keep counsel handling the foreign challenge and Turkish enforcement informed through an agreed channel. A later ruling or corrected award can affect the Turkish file. Preserve official copies and reliable translations when a development matters to the application. Do not continue presenting an obsolete status report after learning that a competent court has issued a material decision.

8. Define the amount and the part of the award being enforced

Prepare a schedule separating principal, awarded interest, costs and payments already received. Identify each operative paragraph supporting the calculation. A demand should not add a contractual penalty or new damages merely because they were originally claimed if the tribunal did not award them. Likewise, a payment received after the award must be credited on the appropriate basis.

Article V addresses the possibility of separating matters within the submission from matters beyond it. The practical question is whether the relevant parts can be separated under the applicable test. Do not assume that a dispute over one component necessarily defeats every other part, or that any amount can be extracted without considering how the award’s reasoning and operative provisions fit together.

Currency and interest calculations require their own care. State the currency awarded, the applicable rate and the relevant start and end dates. Do not convert the entire claim at an arbitrary current exchange rate and describe the result as the amount ordered by the tribunal. A transparent calculation allows the respondent and court to identify an arithmetic dispute without confusing it with a challenge to the underlying entitlement.

9. Plan the Turkish proceedings and collection as distinct stages

The Turkish court, territorial jurisdiction and required procedure must be identified from the applicable framework, including the relevant provisions of Law No. 5718. The law’s foreign-award provisions should not be replaced mechanically with a template for foreign divorce recognition. The claimant’s preferred city and the office’s address do not independently determine the competent court for every enforcement application.

Procedural costs, any relevant security question, service and translation should be assessed at the outset. A commercial arbitration clause does not by itself establish that every later step is exempt from domestic procedural requirements. Conversely, the Convention’s Article III limits substantially more onerous enforcement conditions compared with domestic awards. The assessment must explain the actual requirement rather than invent a standard percentage charge for every foreign creditor.

After the necessary Turkish enforcement decision and procedural conditions, collection still depends on the debtor and executable assets. The debt collection guide explains why a favourable decision and actual recovery are separate. Interim protection, competing creditors and insolvency questions require their own analysis; none is resolved merely by translating the award.

10. A hypothetical equipment-supply award

Assume an overseas buyer obtains an arbitral award ordering a Turkish supplier to repay an advance and pay specified costs. The supplier has made a partial repayment and says it has challenged the award at the seat. These facts are illustrative, not a reported case or a forecast of enforcement success.

The review identifies the seat, Convention scope, arbitration agreement, complete award, payment credit and the actual challenge documents. It separates a filed challenge from any suspension order. The application seeks only the relief supported by the award and an accurate outstanding balance. It does not treat every asset bearing the supplier’s brand as belonging to the award debtor.

The resulting strategy addresses documents, possible Article V objections, any Article VI issue and realistic collection steps. A settlement proposal can be evaluated against that position, with clear payment dates and treatment of the award balance. The example demonstrates why winning the arbitration is an important milestone but not a substitute for the separate Turkish enforcement assessment.

11. Give instructions from abroad using a complete procedural chronology

Send the award, arbitration agreement, relevant procedural orders and a short status summary first. Identify any challenge, prior enforcement attempt, partial payment or settlement. Explain urgent asset concerns with supporting facts rather than a general fear that the debtor might refuse to pay. This permits the first review to focus on the decisive legal and practical questions.

Frequently asked questions

Is an arbitral award the same as a foreign court judgment?

No. Identify the instrument and apply its own recognition and enforcement framework.

Does a famous arbitration institution guarantee enforcement?

No. The agreement, award, proceedings and applicable refusal grounds still require assessment.

Does the Convention apply because the creditor is foreign?

Not on that fact alone. Check its scope and Türkiye’s reciprocity and commercial reservations.

Is an English summary sufficient for filing?

The formal award, agreement and required certified Turkish translations must be prepared under the applicable rules.

Does announcing a challenge automatically stop enforcement?

No. Distinguish an intended challenge, a pending application and an actual set-aside or suspension order.

Can the Turkish court reconsider every contractual argument?

Enforcement scrutiny concerns the applicable legal grounds; it is not an unrestricted new trial of the commercial merits.

Can the debtor’s parent company automatically be pursued?

No. Match the award debtor and the legal basis for any claim against another entity.

Does enforcement guarantee collection?

No. Executable assets, competing rights and the necessary collection procedure remain separate questions.
