Turkish Advance Payment Bank Guarantee Called After Contract Termination: Injunctions, Evidence and Recovery

A foreign contractor can finish a project in Türkiye and still face a demand under an outstanding advance-payment bank guarantee. The bank’s independent payment undertaking, the employer’s contractual entitlement and the contractor’s right to judicial protection must be examined separately. This guide addresses the exact documents and statutory court rules that matter when an advance guarantee is threatened or called after termination or reconciliation.

Short answer

A disputed works contract does not automatically suspend an independent bank guarantee. The undertaking’s wording and any incorporated demand rules determine what the bank must examine. To obtain urgent protection from a Turkish court, the applicant must meet HMK Articles 389–390; Articles 392–397 govern security, implementation, objection and subsequent proceedings. An alleged unjustified drawing on an advance guarantee is a distinct claim involving the beneficiary’s entitlement and actual evidence, not a general power to direct the bank not to honour all demands.

Start with the guarantee instrument, not the dispute narrative

In an international construction, plant-supply or machinery project, a bank may promise payment to the employer if the contractor’s advance is not recovered under the conditions set out in an advance-payment guarantee. The commercial purpose differs from a performance guarantee securing completion or a bid guarantee securing tender participation. The title printed at the top of the paper does not replace analysis of its operative demand clause. Read the beneficiary’s identity, issuing bank, guaranteed maximum, expiry, governing rules, demand address, required documents, permitted drawings and reduction mechanism together. Those terms define what the bank has promised; an assertion that the underlying contract ended is not enough to describe the bank’s separate undertaking.

Keep the signed instrument and every amendment. The guarantee may have been extended by a later letter, reduced by documented interim certificates, or replaced with a retention guarantee. Identify which instrument is current and whether the beneficiary returned any original. Where several banks are involved, distinguish the bank that gives the guarantee to the beneficiary from the Turkish bank issuing a counter-guarantee to that first bank. A Turkish judicial order directed only at the counter-guarantor does not automatically control a different bank abroad. For a foreign contractor, that structure must be mapped before filing an application in Turkey.

Separate the contractor, employer, issuing bank and counter-guarantor

An accurate legal analysis starts with four potentially different relationships. First, the employer and contractor have their works or supply contract, payment certificates and termination provisions. Second, the issuing bank has the wording of the independent guarantee it delivered to the named beneficiary. Third, the contractor may have a reimbursement or collateral arrangement with its bank. Fourth, a foreign issuing bank may be supported by a separate counter-guarantee given by a Turkish bank. These arrangements can share a commercial purpose without creating the same legal rights or identical governing law.

A foreign parent company that arranged funding must also be distinguished from the Turkish project subsidiary that signed the works contract. The claimant must identify who may lawfully demand payment, who will receive the money, and who can seek relief. Naming every group company in an emergency application can create delay rather than protection. Conversely, leaving the actual issuing bank outside the proposed operative order can produce a technically correct judgment that does not reach the payment actor. The jurisdiction and legal effect of orders on foreign entities require independent examination; Turkish procedure cannot be assumed to bind an overseas bank merely because the underlying site is in Turkey.

Understand the independent guarantee and the limits of underlying-contract defences

An independent demand guarantee is not automatically a simple accessory suretyship. Its payment obligation is determined by the guarantee undertaking and applicable rules; it is distinct from the underlying works or supply dispute. The Turkish Code of Obligations Article 128, dealing with undertaking a third party’s act, is important to the juridical analysis of guarantee-type commitments, but it is not a statutory declaration that every document labelled guarantee is irrevocable, independent or payable without conditions. Legal classification depends on the actual promise. Do not invoke ordinary suretyship defences against a genuinely independent guarantee without first establishing their applicability.

The separation has practical consequences. An employer may have a contentious claim for defects under the building contract while still making a demand that satisfies the documentary terms of a first-demand guarantee. The bank is not a substitute construction tribunal. The contractor may separately dispute the employer’s underlying entitlement, or the beneficiary’s use of the security, and seek urgent protection when the precise legal conditions are met. An official published Turkish judicial decision concerning advance-payment guarantees distinguishes the bank’s payment role from the contractor’s right to challenge an allegedly improper drawing. That distinction explains why the contractor, rather than the bank, commonly carries the substantive dispute with the beneficiary.

Match the advance balance to the guaranteed risk

An advance-payment guarantee ordinarily relates to money advanced before performance and to the mechanism for earning or deducting that advance as work progresses. It should not be assumed to secure every penalty, disputed variation, cost overrun or unliquidated damage arising from the project. Examine the instrument’s statement of covered risk and the works contract’s treatment of the advance. Some guarantees contain express documentary reduction steps linked to payment certificates; others leave the guaranteed amount unchanged until the bank receives particular forms of written instruction. A contractor’s internal spreadsheet does not by itself modify the bank’s stated exposure.

Prepare an advance ledger with the original transfer, dates of interim certificates, amounts applied in recoupment, any cash repayments and the remaining disputed balance. Reconcile certificates to bank records rather than relying on project-management labels. A completion certificate may establish one relevant event but does not automatically discharge an independent bank promise if the wording requires a separate expiry event or release document. If the employer uses an advance guarantee for an unrelated performance claim, the exact mismatch can be central to a dispute with the beneficiary. For project advance recovery outside bank guarantees, compare the distinct commercial setting in our Recovering Advances for an Undelivered Yacht guide.

Examine the payment demand line by line

A demand presented to the bank should be compared with the instrument’s own conditions, not with an assumed industry checklist. Some instruments require only a signed declaration; others require an assertion identifying the underlying default, a supporting certificate or a particular electronic or physical presentation. The document may be payable before a specified date or only upon presentation at a named branch. Identify the governing text and whether any referenced ICC Uniform Rules for Demand Guarantees, URDG 758, were actually incorporated. URDG is a contractual ruleset when applicable; it is not automatically Turkish statutory law for every bank guarantee.

The beneficiary’s demand date, receipt evidence and accompanying documents matter independently of whether the alleged breach is true. Check the identity and capacity of the signatory, the amount demanded, stated currency, required assertions and whether the document was presented to the correct bank. Record any claimed noncompliance by reference to the clause that imposes the requirement. A banking objection about documentary presentation is not interchangeable with a contractor’s claim that the employer acted in bad faith in the underlying project. Treat them as separate potential grounds and do not promise that a bank will reject a demand merely because the contractor sends a letter asserting that the contract was terminated.

A termination notice does not automatically cancel the guarantee

A construction or supply contract can end through termination, rescission or performance, while a separate guarantee may remain outstanding under its own terms. Read any cancellation or release clause in the guarantee; determine whether expiry is tied to a fixed date, return of the document, full recoupment of the advance, issue of a certificate, or another expressly defined event. Then ask whether the triggering event has occurred and can be evidenced in the form the guarantee requires. The underlying contract’s end date does not automatically substitute for an event specified in a separate bank instrument.

Where the beneficiary expressly promised to return or release the guarantee after a reconciliation event, preserve that promise and the subsequent correspondence. A disputed final account or unaccepted variation should be classified carefully. The contractor’s strongest underlying case may be that the guaranteed advance was fully absorbed in earned payments; a separate argument may be that the bank received the required reduction instruction. The evidence and legal target of these arguments differ. A contractual penalty claim is also analytically separate from the scope of an advance guarantee: the amount of the penalty does not, without contractual linkage, transform an advance security into an unlimited guarantee for other claims.

Urgent court protection under HMK Article 389

HMK Article 389 permits a provisional injunction concerning the subject matter of the dispute where a change in existing circumstances would make obtaining the right materially more difficult or impossible, or where delay presents a risk or serious harm. The court does not issue a universal freeze merely because payment would be inconvenient. Under Article 390, the applicant identifies the reason, nature and requested measure and must make the claimed right and the relevant grounds approximately proved through the available evidence. In a bank-guarantee dispute, the application should pinpoint the guarantee, the threatened payment act and the legal reason immediate protection is justified.

Relevant proof may include the signed guarantee, a written demand, a mutually signed project account showing advance recovery, an unequivocal release agreement or a documented presentation defect. A bare assertion of defective performance by the employer is not automatically enough to neutralise the bank’s independent commitment. The proposed operative order must also be capable of implementation: identify the bank and exact payment instruction sought, rather than simply asking the court to halt every security related to the project. The filing should explain why ordinary post-payment recovery would not provide sufficient protection in the circumstances and why the requested measure is proportionate.

Security and liability for a wrongly obtained injunction

Under HMK Article 392, the party seeking an injunction ordinarily provides security against potential harm to the other party or third persons if the applicant proves unjustified. The statute allows specified exceptions, including when the application is based on an official document or other conclusive evidence or when the circumstances so require; the court must give its reasons for dispensing with security. Do not state an automatic 10%, 15% or 20% security requirement as a general rule: the statute does not adopt a single universal rate for every guarantee dispute.

A counterparty may object to the order under Article 394 within the applicable statutory conditions and period. There is also exposure to a damages claim for unjust provisional measures under Article 399. The emergency application should therefore be factually complete rather than an instrument for commercially delaying every guarantee payment. The cash tied up in security and the cost of a wrongful measure must be part of the strategy. The distinct mechanism for the Return of Court Security under Article 89 in ordinary litigation demonstrates why a payment guarantee, court-ordered security and a judicial injunction should not be conflated.

One-week implementation and two-week merits-action rules

There are two separate clocks in the Turkish Code of Civil Procedure, and both matter. Under HMK Article 393(1), the applicant must request implementation of the injunction within one week from the date on which the decision is pronounced or served on the applicant, as the statutory conditions specify. Failure to request implementation in time causes the measure to lapse even where litigation has been filed. Obtaining the judge’s signature does not by itself complete implementation; the recipient and execution mechanism in the court’s order must be checked.

Where the injunction was made before a merits action, HMK Article 397(1) requires the applicant to bring the merits action within two weeks from the date implementation was requested, present the evidence of filing to the officer implementing the order and have it placed in the file. The measure otherwise lapses automatically. These periods run from different acts, not from one common date. International contract disputes introduce a further coordination problem if the merits are to be decided by arbitration: the relevant Turkish arbitration and international arbitration provisions must be matched to the underlying clause before the protective filing is designed.

Arbitration and foreign-bank counter-guarantees

A Turkish project agreement may refer disputes to a foreign court or to institutional arbitration while the guarantee is issued by a Turkish bank. Do not treat the contract’s chosen forum, the guarantee’s chosen law and the location of the payment bank as one fact. The Foreign Court Jurisdiction Clauses article discusses the jurisdiction rules for international agreements. An arbitration clause does not make all urgent relief impossible, but the legal basis, forum and limits of court assistance require examination under the relevant arbitration statute and agreement.

A counter-guarantee creates a second and potentially foreign payment chain. An injunction directed at a Turkish counter-guarantor may have a different commercial impact from an injunction directed at the foreign issuing bank. Neither a Turkish order nor a letter of protest is automatically binding on a bank in another jurisdiction. Counsel should identify the recipient, governing law, demand mechanics, applicable service or recognition rules and whether the relevant bank is within the court’s effective reach. If the bank has already honoured a conforming demand, the legal question changes from preventing disbursement to identifying a viable post-payment claim.

If payment has been made: pursue the correct recovery claim

An improper drawing allegation does not automatically make the issuing bank liable for obeying its own independent undertaking. Identify the party said to have received funds without entitlement and the legal basis for restitution or damages under the underlying arrangement and the applicable law. If the contractor must reimburse its bank, that reimbursement relationship creates another ledger to reconcile. The amount drawn, any bank commission, debit or collateral enforcement and subsequent set-offs must be established separately to avoid counting the same loss more than once.

Where the claim arises from a contract, the relevant Turkish Code of Obligations provisions on breach and compensation or restitution must be selected based on the obligation actually owed; an unjust-enrichment claim is not a substitute when its statutory conditions are absent. For overdue receivables against a Turkish business, our Unpaid International Sale to a Turkish Buyer and International Debt Collection in Turkey guides address related commercial remedies. Those articles do not replace analysis of the guarantee, but can help structure an enforcement strategy once the proper debtor and judgment or receivable are identified.

A practical legal instruction file for an overseas contractor

Send Turkish counsel the final guarantee and amendments, the underlying contract, the advance transfer records, interim payment certificates, reconciliation statements, completion or termination documentation, the beneficiary’s demand and proof of when the bank received it. Provide the reimbursement and counter-guarantee agreements only to the extent relevant and lawfully available. Each document should be indexed with date, signatories, language and the precise proposition it is intended to prove. Label disputed facts as disputed; do not write the legal narrative as though the claimant’s preferred account has been judicially established.

Request a two-track written assessment. The first track concerns immediate bank-facing risk: documentary compliance, deadlines, payment status and feasible provisional measures. The second concerns the underlying merits: which amount of advance remains unrecovered, which contract provisions govern it, who had authority to agree a release and what remedy follows any wrongful demand. The initial conversation may be conducted remotely, but foreign documents, powers of attorney and translations must satisfy the actual procedural rules before filing. Our Mersin-based practice coordinates Turkish proceedings nationwide rather than representing that an overseas branch office exists.

Frequently asked questions

Does the employer’s termination of the contract automatically cancel the guarantee?

No. Termination and the independent guarantee’s expiry or release mechanism must be assessed separately under the actual text.

Can a Turkish bank refuse an independent demand simply because the contractor disputes the project?

The bank’s obligation is governed by the guarantee and applicable rules; an underlying dispute alone is not a universal ground to reject an otherwise compliant demand.

Is an advance guarantee the same as a performance guarantee?

No. Their protected commercial risks and terms must be compared rather than inferred from the label.

Do URDG 758 rules apply to every Turkish bank guarantee?

No. They apply where the undertaking validly incorporates them or another applicable legal basis makes them relevant.

Which statute governs an urgent injunction in Turkish civil proceedings?

The Code of Civil Procedure No. 6100, principally Articles 389–397, governs the relevant provisional-measure framework.

Must the applicant prove the full merits at the injunction stage?

HMK Article 390 uses an approximate-proof standard for the asserted right and the grounds for interim protection.

Is there a universal fixed percentage for injunction security?

No. HMK Article 392 provides a security framework and stated exceptions; the court determines the legally appropriate security.

How soon must an injunction be implemented?

HMK Article 393(1) requires a request for implementation within one week from pronouncement or service to the applicant as specified.

When must the main action be filed after a pre-action injunction?

HMK Article 397(1) prescribes two weeks from requesting implementation, together with proof-of-filing steps.

Can a Turkish order automatically stop a foreign issuing bank?

No. The affected entity, forum, applicable rules and cross-border enforceability of the order need separate analysis.

Can the contractor recover money after an allegedly wrongful call?

Potential claims must be directed at the legally responsible party with proof of the demand, payment, underlying entitlement and loss.

Can an international contractor start the file without travelling to Turkey?

Initial instructions and documents can be assembled remotely; a valid power of attorney and any formal procedural requirements remain necessary.
