Are non-compete clauses enforceable after employment in Turkey?
A signed non-compete clause is not automatically enforceable merely because an employee joins another business. Articles 444–447 of the Turkish Code of Obligations require a written undertaking, a qualifying employer interest, proportionate restrictions and an assessment of how employment ended. The ordinary duration limit is two years, subject to the statutory exception for special circumstances. A confidentiality obligation and a prohibition on working for a competitor are different obligations.
This guide concerns an employee’s post-employment restriction under those provisions, not a shareholder’s corporate duties or an independent distributor’s exclusivity agreement. Our English legal services homepage explains how Turkish-law matters are coordinated from our Mersin office.
The clause review at a glance
| Question | Legal or evidential check |
|---|---|
| Was a binding undertaking made? | Written text, legal capacity, signature and the applicable version. |
| What interest is protected? | Access to customers, production secrets or business information whose use can cause significant harm. |
| How far does the restraint extend? | Place, duration and type of activity, considered together. |
| Did the restriction end? | The employer’s continuing interest and the circumstances of termination. |
| Which remedy is claimed? | Damages, contractual penalty and cessation of activity have separate requirements. |
1. Identify which obligation is actually being invoked
Employment contracts often place confidentiality, intellectual property, customer contact and non-competition under one heading. Read each obligation separately. A promise not to disclose a manufacturing formula is different from a promise not to accept employment in the same industry. A duty to return company equipment is different again. The employer’s demand should identify the undertaking said to have been breached and the conduct relied upon.
The distinction is particularly important after departure. An employee might remain obliged to protect genuinely confidential information without being prohibited from using ordinary professional skills. Conversely, absence of an enforceable blanket employment restriction is not permission to copy customer databases, reveal confidential prices or misuse another person’s protected information. Review the actual allegation rather than treating the dispute as an unrestricted choice between total silence and total freedom.
A person who was both an employee and a shareholder can have several legal relationships. Separate the employment restraint from a shareholders’ agreement or a statutory corporate duty. The same signature bundle does not make every clause subject to identical validity, jurisdiction or remedy rules. This guide applies the employee-specific framework in Code of Obligations No. 6098, Articles 444–447.
2. Examine the written undertaking and the version actually accepted
Article 444 requires a written post-employment undertaking by an employee with legal capacity. Obtain the complete signed agreement, incorporated annexes and later amendments. A human-resources summary saying that all staff have a non-compete clause is not the same as the particular employee’s written undertaking. Check whether a handbook was merely circulated or formed part of the relevant agreement.
Keep the original language and any translation together. Expressions such as competitor, affiliated business, customer and restricted territory can be materially different across versions. An English explanation of a Turkish document should accurately reflect its legal operation. Do not assume that the shortest or most favourable translation automatically prevails without examining the agreement and surrounding rules.
Identify dates carefully. A restriction signed at recruitment, an amendment following promotion and an exit settlement can contain different terms. Determine which text is relied upon and whether the later document modifies the earlier one. Avoid assembling a supposed obligation from isolated pages belonging to different versions. An internally consistent document file is the starting point for both enforcement and defence.
3. Connect the employee’s actual access to a significant risk of harm
Under Article 444, the employment relationship must have enabled knowledge of the employer’s customers, production secrets or business activities, and use of that knowledge must be capable of causing significant harm. Job title alone does not establish those conditions. Identify the information the employee actually encountered, the responsibilities held and the relevance of that knowledge to the proposed competitive activity.
A sales engineer with access to confidential tender pricing presents a different factual situation from a worker whose tasks reveal no sensitive customer or production information. Even within the same department, access can differ by project and period. Describe the records and functions specifically rather than asserting that every employee knows the whole business.
The employer should explain the connection between the protected information and the feared harm. The employee should explain any relevant limits to their knowledge and new duties. Neither side benefits from treating publicly available customer contact details, general experience and genuinely confidential commercial information as one undifferentiated category. Legal protection must be assessed against the actual interest, not a desire to prevent all ordinary competition.
4. Read place, activity and duration as interacting restrictions
Article 445 requires appropriate limits concerning place, time and type of work, avoiding an inequitable impairment of the employee’s economic future. These limits should be examined together. A short restraint covering every possible occupation can be seriously different from a restriction confined to a narrowly identified competitive activity. A small territory is not automatically reasonable when it includes the employee’s entire realistic professional market.
Translate broad drafting into practical consequences. Which products, services, customers or roles are restricted? Does the clause distinguish working for a competitor in a competing role from performing unrelated tasks for a diversified group? Does the territory correspond to the employer’s relevant market? These questions expose the actual reach of words that otherwise sound routine.
Article 445 permits the judge to narrow an excessive restraint, taking the circumstances and any employer counter-performance into account. That power should not be sold as a guarantee that a court will rewrite every defective clause into the employee’s preferred terms. An employer should draft a defensible restriction at the outset; an employee should assess the actual text before committing to conduct that is likely to be disputed.
5. Do not treat two years or a foreign compensation rule as an automatic answer
The ordinary statutory duration ceiling is two years, subject to special circumstances. It is therefore inaccurate to say that every restriction lasting two years is valid, or that a longer period can never be considered under any circumstances. Duration is one element of the statutory assessment, alongside the protected interest and the other limits.
Record when the restriction is said to begin and end. A clause tied to termination needs to be considered alongside the actual termination date, any continuing employment during notice and later agreements. Do not calculate the period solely from the date a laptop was returned when that was not the legal end of the relationship.
An international employee may be familiar with a foreign system requiring a particular payment during a restraint. Do not import that system’s fixed percentage into Turkish law without an applicable basis. Examine the governing law, any mandatory protections and the employer’s actual contractual promise. Where compensation is promised, identify its amount, duration, conditions and payment history; it also belongs in the assessment of the restraint’s proportionality.
6. Check whether the restriction ended with the circumstances of departure
Article 447 addresses the end of the prohibition where the employer no longer has a genuine interest in maintaining it. It also addresses termination by the employer without a justified reason and termination by the employee for a reason attributable to the employer. The wording makes the departure chronology central to the analysis.
Collect the dismissal or resignation notice, delivery evidence, the reasons given and any later agreement. An ordinary resignation should not automatically be described as extinguishing every restriction. Equally, an employer cannot establish that a restriction survives merely by repeating that the employee signed it years earlier. The statutory termination conditions require examination.
A dispute over the reason for departure can overlap factually with an employment claim while remaining a separate legal question. The dismissal and reinstatement guide explains the distinct procedure and urgent application periods. Do not assume that negotiating a non-compete release preserves a reinstatement deadline, or that payment of notice compensation resolves every question about the restraint.
7. Compare the proposed role with the prohibited conduct
A useful comparison describes the former role, the new role, products or services, customer groups, territory and information the new position would actually require. The new employer’s name alone rarely supplies that whole account. A multinational business can compete in one division and operate in unrelated sectors through others.
Remote work adds location questions rather than removing them. Working from another country does not automatically place conduct beyond a clause’s reach, while a reference to Turkey does not automatically prohibit every foreign activity. Identify where the services, customers and competitive effects are situated and examine the contract’s applicable-law and forum terms separately.
Where possible, discuss a genuine role limitation before starting the disputed activity. A documented exclusion from particular accounts or projects can clarify the facts, but it must describe what will actually happen. Do not create a paper-only job description while continuing the same prohibited customer work. A practical arrangement should be transparent, verifiable and consistent with the employee’s real responsibilities.
8. Preserve the relevant evidence without copying protected business material
Keep lawfully available copies of the contract, job description, termination records, correspondence and the demand alleging breach. Preserve public information about the new role and any written clarification of duties. Identify which facts are agreed and which require evidence from the other side.
Do not download an entire customer database to prove that access was limited, enter a former employer’s account after authority ended, or forward trade secrets to a personal mailbox for convenience. A dispute about a restraint does not legitimise unlawful evidence collection. Counsel should identify lawful routes for seeking relevant records and proportionate ways of explaining confidential facts.
An employer should equally avoid treating all employee communications as freely available evidence. Data protection, confidentiality and lawful access remain relevant. The KVKK request guide explains a separate information and correction route; it does not itself decide whether competitive conduct occurred or replace the proper court procedure.
9. Separate contractual penalties, damages and stopping the activity
Article 446 addresses compensation for loss caused by breach. The existence of a clause does not by itself prove the amount of loss or the causal connection with the employee’s conduct. Identify the alleged transaction, customer or protected information and explain the calculation rather than demanding an unexplained business-wide loss figure.
A contractual penalty raises additional questions. Examine the trigger, amount, currency and any provision concerning release from the prohibition through payment. Article 446 supplies a default rule under which payment of the penalty can release the employee unless the agreement provides otherwise, while qualifying loss exceeding it remains a separate issue. Do not assume that every penalty demand is payable exactly as written without examination of validity and applicable controls.
An order stopping the prohibited activity is not automatic. Article 446 requires an expressly reserved written right and circumstances justifying that remedy by reference to the threatened interest and the employee’s conduct. Any interim protective application also needs its own procedural basis. A demand for money, a final cessation remedy and urgent interim relief should therefore be identified separately.
10. Apply the 2025 commercial-court ruling to the correct dispute
The Court of Cassation’s unification decision of 13 June 2025, E. 2023/1, K. 2025/3, published in the Official Gazette on 12 September 2025, identifies the commercial court of first instance as the competent court for actions arising from breach of the post-employment prohibition under Articles 444–447. The published decision is available in this mirrored copy of the official text.
This distinction matters because older summaries and some other employment claims refer to labour courts. Do not select the court solely because the defendant was formerly an employee. Identify the precise claim: post-employment non-competition, conduct during employment, an unpaid wage or a different contractual relationship can require different treatment.
The decision on court type does not answer territorial jurisdiction, international jurisdiction or every pre-action requirement. A monetary commercial claim must be assessed for the applicable mediation framework, while a different requested remedy can require a separate analysis. Do not automatically reuse the labour-mediation application prepared for unpaid salary as though it resolves every procedural condition for the restraint dispute.
11. Make a release or modification precise enough to use
A negotiated solution should identify the agreement being changed, the employee, the employer and the activity permitted. Specify whether the employer releases the whole restraint or only a defined role, territory, customer group or period. A message wishing the employee success in a new job is not necessarily an unrestricted legal release.
Address confidentiality and return of materials separately. An employer can agree that a particular role is outside the non-compete dispute without authorising disclosure of protected information. Conversely, agreeing to return equipment should not silently be presented as acceptance of an additional restraint that was not previously agreed.
State the treatment of existing penalty demands, alleged past conduct and any payment. If a settlement concerns only future work, make clear whether a historical claim remains disputed. Check signatory authority and retain the final signed version. A practical settlement should reduce uncertainty rather than replace one broad clause with another ambiguous promise.
12. A hypothetical change from tender sales to an unrelated product role
Consider an illustrative employee who formerly prepared confidential quotations for industrial equipment. After departure, a diversified business offers a role selling a different consumer product. The former employer points to a clause referring broadly to all competing businesses. This is an invented example, not a reported client matter or a judicial outcome.
The review compares the products, customers, territory and actual duties. It examines what confidential knowledge the former role supplied, how its use could significantly harm the previous employer, the clause’s limits and the departure reason. A documented separation from the former tender market is relevant evidence, but it does not replace the full statutory assessment.
If the new role later changes to soliciting the same industrial customers using confidential quotations, the factual comparison changes too. A clearance based on one role should not be treated as permission for every future assignment. The useful output is a defined assessment with clear assumptions, not an unconditional statement that the employee can work anywhere or nowhere.
13. Prepare an English-language assessment while living abroad
Send the signed clause, relevant amendments, job descriptions, departure notice, proposed new role and any demand already received. Identify a court, mediation or response date immediately. Do not delay urgent procedural advice while attempting to translate every personnel document.
The mandate should define whether the lawyer is reviewing the clause, negotiating a release, responding to a monetary claim or handling proceedings. Professional fees and official or third-party expenses should be distinguished. A document review is not a guarantee that another party will refrain from making a claim.

Frequently asked questions
Does signing make every non-compete restriction valid?
No. Written form is one requirement. The protected interest, scope and termination circumstances also require examination.
Is a two-year restriction always enforceable?
No. Two years is the ordinary duration ceiling, not automatic approval of every restriction within that period.
Does resigning automatically cancel the clause?
No. Article 447 requires an assessment of the departure reason and the employer’s continuing interest.
Can I work abroad without checking the clause?
Do not assume location alone decides the issue. Examine the territory, activities, customers and applicable law.
Does an invalid non-compete permit disclosure of secrets?
No. Confidentiality and other relevant obligations require separate assessment.
Is the dispute always heard by a labour court?
No. The 2025 unification decision identifies commercial courts for breach actions under Articles 444–447.
Must the court automatically award the penalty demanded?
No. The agreement, alleged breach, validity and applicable legal controls must be examined.
Does sending an enquiry stop a response deadline?
No. An enquiry does not establish representation or preserve a legal period. State urgent dates expressly.
