Can an Email Change a Written Turkish Contract? Amendments, Signatures and Form
An email discussing a change is not automatically a valid amendment to every Turkish contract. Article 13 of the Turkish Code of Obligations requires amendments to a contract subject to statutory written form to observe that form, while excluding supplementary side provisions that do not contradict the contract. Article 17 separately addresses a form chosen by the parties themselves. Articles 14–16 govern signatures and recognised substitutes. The right starting question is therefore not simply whether the original was written down, but why a particular form was required and what the proposed change actually does.

Three reasons a contract can exist in writing
Article 12 of Law No. 6098 starts from freedom of form unless law provides otherwise. Parties can put an agreement on paper for convenience even where the law does not require writing. That voluntary record is not, by its physical existence alone, proof that every later amendment is governed by a statutory writing requirement.
A second possibility is that a particular legal provision requires writing or another validity form for the transaction. A third is that the parties agree to use a particular form even though the law does not require it. The source of the requirement changes the analysis. The original agreement and the rule governing its contract type must both be examined.
Article 12 states that a form prescribed by law is generally a validity requirement and that a contract concluded without the required form does not produce effects. This is different from whether a communication is useful evidence. A party can prove that a discussion occurred without thereby proving that the legally required act was completed in the correct form.
Article 13 carries statutory form into amendments
Where law requires the contract to be written, Article 13 also requires writing for its amendment. The second paragraph applies the same rule to validity forms other than writing. The provision should therefore not be explained as a rule limited to ordinary signed commercial pages while disregarding transactions requiring a different formal act.
Identify the particular term being changed and the original legal requirement. A revised price, substituted performance, extended commitment or change to the parties’ duties must be assessed by its operative effect. Calling a document an operational note does not decide whether it is legally an amendment to a term subject to the form rule.
The amendment record should identify the original agreement clearly. A date, version number and clause reference help connect the new declaration with the intended obligation. Without that connection, a signed document can leave a dispute about which of several contracts it changes. Formal execution and accurate identification of the transaction are separate but complementary safeguards.
The exception is for non-contradictory supplementary side provisions
Article 13 excludes supplementary side provisions that do not contradict the contract text. Both parts of that description matter. It is not a blanket exemption for every matter that one party considers minor, and it does not permit an informal statement to override a written term simply because the statement is short.
Compare the proposed supplement with the contract’s existing provisions and incorporated documents. The analysis should show whether it fills an ancillary detail consistently with the agreement or changes an existing obligation. An exception cannot be established merely by placing the new wording in a separate email instead of an addendum.
The distinction is particularly useful in long projects where communications combine administration and substantive changes. Keep coordination messages separate from requests that alter the agreed exchange. The file should make it possible to identify which communications are relied on as supplements and which are alleged amendments, without assuming that every project email has the same legal effect.
Article 14 requires signatures from those undertaking obligations
Article 14 requires the signatures of the persons assuming obligations in contracts subject to written form. The inquiry is not simply whether somebody signed somewhere on the file. Identify the persons bound by the amendment, the capacity in which they signed and the text to which their signature relates.
In a reciprocal amendment, each side’s new or altered undertaking should be identifiable. A signature acknowledging receipt of a draft is not necessarily a signature adopting the obligations in it. A witness’s signature, an internal approval and the contracting party’s execution also serve different purposes. Their meaning must be established from the document rather than treated as interchangeable marks.
For a company, the authorised signatory’s act must correspond to the relevant legal entity. A parent-company officer is not automatically authorised for a subsidiary, and an employee administering the contract is not necessarily authorised to vary it. The commercial signing-authority guide addresses those role and scope questions.
Recognised communication methods have conditions
Unless law provides otherwise, Article 14 recognises a signed letter, a telegram whose original is signed by the person undertaking the obligation, confirmed fax or comparable communications, and texts that can be sent and stored with a secure electronic signature as substitutes for written form. The listed conditions must be retained in an English explanation.
It would be inaccurate to shorten that rule to “all electronic messages satisfy written form.” A typed message, an image of a signature and a securely electronically signed record are different objects. The legal assessment needs the actual method, the relevant confirmation where required and the transaction-specific rule that applies.
Preserve the complete record in its original format. A screenshot can show visible words but omit attachments, signature information or the sequence establishing confirmation. An email export, the transmitted document and the underlying signed original should be kept together where they exist. The form question should not be decided from a cropped image while better source records remain available.
Handwritten and secure electronic signatures are not the same as pasted images
Article 15 requires the signature of a person undertaking an obligation to be handwritten and gives a secure electronic signature the legal consequences of a handwritten signature. Article 14 also refers specifically to secure electronic signing in its recognised electronic route. The statutory expression should not be replaced with the broader everyday phrase digital signature without checking what was actually used.
A scanned handwritten signature records an image of a mark on another document. A secure electronic signature operates on electronic data under the relevant legal framework. The scan does not become a secure electronic signature merely because it is inserted into a PDF or sent through a commercial signing platform. That distinction does not mean the scan is irrelevant evidence; it means its legal function must be identified correctly.
The Electronic Signature Law No. 5070 must also be considered when an electronic route is proposed. The general equivalence rule does not remove special transaction exclusions or separate official-form requirements. This guide does not certify a particular platform, foreign certificate or security instrument as sufficient for every Turkish transaction.
Copies, originals and the text actually signed
The amendment file should show the complete text adopted by the signatories. Retain schedules that define quantities, prices, performance standards and dates. A signature page without the corresponding version of the agreement can leave uncertainty about what was accepted, even where the physical signature itself is genuine.
Keep original paper records where the transaction was executed on paper. Where a legally available electronic method was used, preserve the signed electronic file and the information needed to examine it. Printing an electronically signed document can be useful for reading, but the printout is not the same object as the original signed electronic data.
Do not silently insert pages or overwrite an executed file. A later correction should be documented as such, with the relevant assent and form requirements addressed. The objective is a traceable chain from the original agreement to each valid change, not a retrospectively edited document that conceals when new terms were introduced.
Article 15 does not impose automatic witnesses on visually impaired signatories
Article 15 states that witnesses are sought for visually impaired persons’ signatures where they request them; otherwise their handwritten signatures are sufficient under that provision. An explanation claiming that visual impairment always prevents a person from signing without witnesses would misstate the rule.
This general signature rule should be distinguished from any separate procedure required for a specific official transaction. Identify the act and the competent authority’s applicable requirements rather than assuming that every document uses the same execution process. Accessibility arrangements and legal capacity are also different questions.
The practical preparation should establish the person’s wishes, the document to be signed and the lawful execution route. It should not presume inability merely from a disability. The article’s express wording is the starting point for the general handwritten-signature issue.
Article 16 permits approved substitutes for a person unable to sign
A person who cannot sign may use a fingerprint, a handmade mark or a seal instead, provided it is duly approved under Article 16. The provision expressly reserves negotiable-instrument rules. The approval condition must not be omitted, and a substitute suitable for one act should not automatically be assumed valid for every kind of instrument.
A company’s ordinary stamp is not, simply because it is a seal, proof that Article 16’s conditions have been satisfied for a person unable to sign. Identify whose obligation is involved, why a substitute is used and the approval procedure. The mark and the authority to bind another person remain separate questions.
Arrange the execution method before treating the amendment as completed. A later explanation that a person could not sign does not by itself establish that an unapproved mark complied with the statute. The file should contain the evidence of the approved substitute and the complete text connected with it.
Article 17 gives effect to a form the parties themselves chose
Where law does not require a form but the parties agree to use a particular one, Article 17 states that a contract not made in that form does not bind them. If they agree merely on written form without specifying more, the legal rules on written form apply. A negotiated form clause therefore deserves attention even in an otherwise form-free transaction.
Read the clause’s scope. It may address initial execution, later changes or specified categories of notice. Those are not necessarily identical. A requirement for a signed amendment should not be treated as a rule governing every routine project communication, while a clause directed at substantive changes should not be ignored because the parties often use email administratively.
The precise agreement about form must be established from the documents and legally relevant communications. Do not assume either that the clause was abandoned automatically or that a sentence quoted without its context resolves every later conduct question. The proposed amendment and the current agreed execution requirement need to be evaluated together.
Amendment, new contract and transfer of a party are different acts
A change to payment dates is not necessarily a replacement of the debt. Article 133 requires the parties’ express novation intention for the old obligation to end through a new one. The novation guide explains that separate effect. A document titled amended and restated should be read for what it actually preserves or replaces.
Likewise, substituting a contractual party raises Article 205’s consent and form rules. An amendment signed only by the outgoing and incoming businesses does not, without more, establish the remaining party’s legally required participation, prior permission or later approval. The contract-transfer guide addresses that mechanism.
Existing guarantees and other security must be reviewed separately when obligations change. A valid amendment between principal parties is not proof that every third-party security provider accepted the resulting exposure. The personal-security form guide identifies the additional safeguards relevant to that undertaking.
An amendment review should answer six concrete questions
| Question | Required identification |
|---|---|
| Which agreement changes? | Original parties, date, version and affected clause |
| Why is form required? | Statutory rule, agreed form, or voluntary written record only |
| Is it a true supplement? | Whether the side provision contradicts the existing text |
| Who assumes obligations? | Signatories, legal capacity and representation authority |
| How was it executed? | Handwritten original, qualifying communication or legally available secure electronic route |
| What else changes? | Effective date, preserved terms, security and required registration or approval |
Keep the answers tied to documents rather than a general statement that both parties agreed. Agreement, form and proof are distinct. Where litigation has started, also preserve the served claim and its service record; completing a retrospective document review does not itself supply the required procedural response.
Foreign signing needs a separate applicable-form analysis
This article explains the Turkish domestic form rules where they govern the issue. An international transaction first requires the relevant conflict-of-laws analysis. The site’s formal validity guide under MÖHUK Article 7 addresses the alternative formal systems and subject-specific exceptions. It should not be replaced with an assumption that Turkish form always applies simply because a document will be used in Turkey.
Provide every signed language version, the relevant law and form clauses, the proposed change and the actual execution records. State where and how the parties signed without inventing a common signing location. Once the applicable rule is identified, the amendment can be evaluated under the correct statutory and contractual requirements.
Frequently asked questions
Does every contract written on paper have a statutory written-form requirement?
No. Distinguish statutory form, a form agreed by the parties and a voluntary written record. Article 12 starts from freedom of form unless law provides otherwise.
Must a statutory written contract be amended in writing?
Article 13 requires that form for amendments, except non-contradictory supplementary side provisions. It also applies the principle to other validity forms.
Can any minor email be treated as a supplementary provision?
No. The Article 13 exception requires a supplementary side provision that does not contradict the contract text. Its actual effect, not its length or heading, matters.
Whose signatures does Article 14 require?
It requires signatures from those undertaking obligations in the written-form transaction. Identify the obligations, signatories and the capacity in which they act.
Is a scanned signature automatically a secure electronic signature?
No. An image of a handwritten signature and a secure electronic signature are different. The actual execution method and the transaction’s legal requirements must be examined.
Does Article 14 recognise confirmed fax communications?
Yes, subject to its confirmation requirement and any contrary legal rule. It also identifies other recognised forms; the listed conditions cannot be omitted.
Are witnesses always required for a visually impaired person’s signature?
Under Article 15, witnesses are sought on the person’s request; otherwise a handwritten signature is sufficient under that provision. Special transaction procedures require separate review.
Can a person unable to sign use a fingerprint?
Article 16 permits a fingerprint, handmade mark or seal when duly approved. It reserves the rules on negotiable instruments.
Can the parties require writing when the law does not?
Yes. Article 17 addresses an agreed form and states that the transaction does not bind them if that form is not observed. An unspecified writing requirement follows legal written-form rules.
Does evidence of an email exchange settle formal validity?
Not by itself. Evidence of communications, matching consent, authority and satisfaction of the applicable form are different questions.
